These Terms of Service ("Terms") govern your use of AOX Billing Solutions' medical billing services. By engaging our services, you agree to be bound by these Terms. Please read them carefully.
1. Agreement to Terms
By accessing or using AOX Billing Solutions' services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.
2. Services Provided
AOX Billing Solutions provides medical billing and revenue cycle management services, including:
- Medical coding and claims submission
- Pre-authorization and eligibility verification
- Accounts receivable management
- Denial management and appeals
- Revenue cycle reporting and analytics
Services are provided subject to a separate Service Agreement that will detail specific terms, fees, and service levels.
3. Business Associate Agreement
As a HIPAA Business Associate, AOX Billing Solutions will execute a Business Associate Agreement (BAA) with each client. The BAA governs the handling of Protected Health Information (PHI) and takes precedence over conflicting provisions in these Terms.
4. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete patient and billing information
- Maintain appropriate licenses and insurance coverage
- Notify us promptly of any changes to your practice information
- Comply with all applicable healthcare regulations, including HIPAA
- Pay fees as agreed upon in your Service Agreement
- Provide timely access to necessary documentation and systems
5. Fees and Payment
Service fees will be specified in your Service Agreement. You agree to:
- Pay all fees according to the payment schedule in your agreement
- Pay any late fees or charges for returned payments
- Authorize automatic payment processing where applicable
We reserve the right to suspend services for non-payment after providing appropriate notice.
6. Data Security and Confidentiality
We implement industry-standard security measures to protect your data. However, you acknowledge that:
- No system is completely secure, and we cannot guarantee absolute security
- You are responsible for maintaining secure access credentials
- You must notify us immediately of any suspected security breaches
7. Limitation of Liability
To the maximum extent permitted by law:
- AOX Billing Solutions' liability is limited to the fees paid for services in the 12 months preceding any claim
- We are not liable for indirect, incidental, or consequential damages
- We are not liable for delays or failures caused by third parties (insurance carriers, clearinghouses, etc.)
8. Indemnification
You agree to indemnify and hold harmless AOX Billing Solutions from any claims, damages, or expenses arising from:
- Your breach of these Terms or your Service Agreement
- Inaccurate or incomplete information provided by you
- Your violation of any applicable laws or regulations
9. Termination
Either party may terminate services in accordance with the terms specified in your Service Agreement. Upon termination:
- You remain responsible for all fees incurred through the termination date
- We will return or securely dispose of your data as specified in your agreement
- Confidentiality obligations continue after termination
10. Modifications to Services
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of material changes that affect your services.
11. Compliance with Laws
Both parties agree to comply with all applicable federal, state, and local laws and regulations, including but not limited to:
- HIPAA and HITECH Act
- State healthcare regulations
- Medicare and Medicaid requirements
- Anti-kickback and Stark Law provisions
12. Dispute Resolution
Any disputes arising from these Terms or our services will be resolved through:
- Good faith negotiation between the parties
- If negotiation fails, mediation through a mutually agreed mediator
- If mediation fails, binding arbitration in accordance with applicable rules
13. Governing Law
These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles.
14. Entire Agreement
These Terms, together with your Service Agreement and BAA, constitute the entire agreement between you and AOX Billing Solutions regarding the services, superseding all prior agreements.
15. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to you. Your continued use of our services after changes constitutes acceptance of the modified Terms.
